1. General Provisions
This public offer agreement (hereinafter — the "Offer") is an official proposal by ИП Игнатьев Дмитрий Константинович (INN: 781697503721, OGRNIP: 321784700341921) (hereinafter — the "Provider") to enter into an agreement for website monitoring services through the Osminog service available at https://osminog.app/ (hereinafter — the "Website").
This Offer is addressed to an unlimited number of persons in accordance with Article 437 of the Civil Code of the Russian Federation.
Acceptance of this Offer is accomplished by registering on the Website and/or paying for the Services, which constitutes the User's full and unconditional acceptance of all terms of the Offer (Clause 3 of Article 438 of the Civil Code of the Russian Federation).
2. Definitions
- Provider — ИП Игнатьев Дмитрий Константинович, providing services under this Offer.
- User (Customer) — an individual who has accepted the terms of this Offer.
- Services — website monitoring services provided through the Website.
- Subscription — a paid period of access to the extended features of the Website under the selected pricing plan.
- Pricing Plan — a set of service conditions specifying cost, duration, and available features.
- Recurring Payment — automatic charge to the User's bank card for Subscription renewal.
3. Subject of the Offer
The Provider undertakes to provide the User with website monitoring Services in the scope and under the conditions of the selected pricing plan, and the User undertakes to pay for said Services.
Current pricing plans, their costs, and included features are listed at https://osminog.app/pricing.
4. Subscription Terms
4.1. The Subscription is issued for the period specified in the selected pricing plan (monthly or annually).
4.2. The Subscription cost is determined by the current rates published on the Website at the time of payment.
4.3. The Subscription becomes active upon receipt of payment and remains active until the end of the paid period.
4.4. Upon expiration of the paid period, the Subscription is automatically renewed for the same term if recurring payments are enabled.
5. Recurring Payments
5.1. When subscribing, the User may enable recurring (automatic) payments by saving their bank card details.
5.2. By enabling recurring payments, the User consents to automatic charges to their bank card for subsequent Subscription periods.
5.3. The charge for Subscription renewal is processed automatically on the expiration date of the current paid period.
5.4. The charge amount corresponds to the pricing plan rate effective at the time of the charge.
5.5. The User receives a notification about the upcoming charge to the email address provided during registration no less than 3 (three) calendar days before the charge date.
5.6. If the charge cannot be processed (insufficient funds, expired card, etc.), the Subscription is not renewed, and access to paid features is restricted after the current paid period expires.
6. Subscription Cancellation
6.1. The User may cancel automatic Subscription renewal at any time through the "Billing & Subscriptions" section in their account on the Website.
6.2. Upon cancellation of automatic renewal, the Subscription remains active until the end of the current paid period.
6.3. The User may also cancel the subscription by sending a request to
info@osminog.app.
7. Refund Policy
7.1. Refunds are issued upon the User's request sent to
info@osminog.app within 14 (fourteen) calendar days from the date of payment, provided that the Services have not been fully utilized.
7.2. The refund amount is calculated proportionally to the unused Subscription period.
7.3. Refunds are processed to the bank card used for the original payment within 10 (ten) business days from the approval of the refund request.
7.4. Refunds for fully used Subscription periods are not provided.
8. Price Changes
8.1. The Provider reserves the right to change pricing plan costs unilaterally.
8.2. New prices apply only to new payments and Subscription renewals. The current paid period is not recalculated.
8.3. The User is notified of price changes by email no less than 14 (fourteen) calendar days before the changes take effect.
9. Rights and Obligations
The Provider undertakes to:
- Provide Services in accordance with the conditions of the selected pricing plan.
- Ensure the operability of the Website and availability of Services, except during maintenance periods and force majeure circumstances.
- Promptly inform the User of material changes to the service conditions.
The User undertakes to:
- Pay for Services in a timely manner.
- Provide accurate information during registration.
- Use the Services in accordance with the Terms of Use and applicable law.
10. Liability
10.1. The Provider is not liable for service interruptions caused by force majeure, actions of third parties, or technical failures of communication channels.
10.2. The Provider's liability is limited to the cost of paid but undelivered Services.
10.3. Disputes shall be resolved through negotiation. If agreement cannot be reached, disputes shall be referred to the court in accordance with the legislation of the Russian Federation.
11. Final Provisions
11.1. This Offer becomes effective upon publication on the Website and remains in effect until withdrawn by the Provider.
11.2. The Provider reserves the right to amend the terms of this Offer. Amendments take effect upon publication of the new version on the Website.
